1. AGREEMENT TO OUR LEGAL TERMS

We are Orio Inc., a company registered in the state of Delaware, United States of America (“Company,” “we,” “us,” or “our”). Our registered office is located at 447 Broadway, 2nd Floor 1955, New York, NY, 10013.

We operate the website https://orio.games (the “Site”), as well as related products and services that reference these legal terms (the “Legal Terms”) (collectively, the “Services”). Orio is a browser-based platform that allows users to generate, edit, and explore interactive 3D environments and games using advanced generative AI technology.

By accessing the Services, you agree to be bound by these Legal Terms. If you do not agree, you are expressly prohibited from using the Services and must discontinue use immediately.

2. INTELLECTUAL PROPERTY RIGHTS

2.1 Our Intellectual Property: Unless otherwise indicated, the Services, including source code, databases, functionality, software, website designs, audio, video, text, and graphics (the “Content”) and the trademarks and logos contained therein (the “Marks”) are owned or licensed by Orio Inc. and are protected by copyright and trademark laws.

2.2 Ownership of User Prompts: You retain all rights and ownership of the text or image prompts you input into the Services.

2.3 Ownership of AI-Generated Output: Subject to your compliance with these Legal Terms, Orio Inc. hereby assigns to you all its right, title, and interest in and to the 3D meshes, environments, and assets generated by the Service specifically from your prompts (“Output”).

2.4 AI Training Transparency: You acknowledge and agree that Orio Inc. may use anonymized, de-identified prompts and User Contributions to improve Orio’s generative models. We do not use personally identifiable information for model training.

3. USER REPRESENTATIONS & PROHIBITED ACTIVITIES

3.1 Eligibility: By using the Services, you represent that: (1) you have the legal capacity to comply with these terms; (2) you are at least 13 years of age; (3) you will not use the Services for any illegal or unauthorized purpose.

3.2 Prohibited Use: You may not use the Services to:

  • Generate content that violates third-party intellectual property, privacy, or publicity rights.
  • Harass, abuse, or harm another person.
  • Attempt to bypass any measures of the Services designed to prevent or restrict access.
  • Use the Services to train competing machine learning or AI models.

4. SUBSCRIPTIONS, CREDITS, AND PAYMENTS

Orio operates as a Software-as-a-Service (SaaS) platform. We may provide optional subscription plans, credits, or tokens that grant access to premium features or expanded usage limits.

  • All payments are non-refundable unless required by law.
  • You may cancel at any time by contacting support@orio.games or via in-product settings (if available). Your cancellation takes effect at the end of the current paid term.

5. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. Without limiting any other provision of these terms, we reserve the right to, in our sole discretion and without notice, deny access to the Services (including blocking certain IP addresses) to any person for any reason, including for breach of any representation or warranty.

6. LIMITATION OF LIABILITY & DISCLAIMERS

6.1 No Warranty: THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK.

6.2 AI-Generated Content Disclaimer: YOU ACKNOWLEDGE THAT THE SERVICES’ AI FEATURES MAY OCCASIONALLY PRODUCE INACCURATE, BIASED, OR UNRELIABLE OUTPUTS. WE DO NOT GUARANTEE THE ACCURACY OR ORIGINALITY OF ANY AI-GENERATED OUTPUT. YOU AGREE TO VERIFY CRITICAL INFORMATION INDEPENDENTLY.

6.3 Limitation of Liability: IN NO EVENT WILL ORIO INC. OR OUR DIRECTORS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. GOVERNING LAW
